Private Placements
I gained my foundation in capital-raising transactions and the associated securities laws in my early days as a lawyer in big firms. This is a skill set that is not that common outside of medium and large law firms, and as a result I get many referrals from fellow corporate lawyers who, while they are generally sophisticated in corporate transactional matters, do not have the necessary foundation in securities laws to do this work.
In all honesty, I have mixed emotions about this part of my practice. I certainly can and will do this type of work, and I enjoy it if the clients have experience or knowledge in these matters and enough funding to bear the expense.
However, over the years I have grown weary of wasting a lot of time in extended discussions with inexperienced potential clients who do not understand what is involved in doing this work properly and why it is not cheap, and who generally vastly overestimate how easy it is going to be for them to raise capital from investors. (And, before you ask, no, I will not wait to be paid until you get the funding you are certain you are going to be getting.)
