Mergers and acquisitions has always been a substantial part of my law practice since I started practicing law in 1991. The largest acquisition was a billion dollar acquisition of a multinational business. In my smallest acquisition deal, my duties included counting out the $30,000 cash purchase price that the purchaser of a Quizno’s® franchise had to visit 4 different bank branches in order to withdraw. I’ve done countless deals on both the buy side and the sell side, asset deals, stock/membership interest purchases, mergers, spin-offs, split-offs, and every permutation of combinations of them. I’ve done mergers and acquisitions deals as an outside lawyer. I’ve worked to acquire companies from inside the acquirer as a general counsel. I’ve even been the general counsel of two companies that were acquired, experiencing what it is like to be inside a target company – twice. Other than my work as an “outsourced general counsel” and the associated steady stream of work that is mostly drafting, review and negotiation of contracts, mergers and acquisitions work is my favorite part of my practice.
