Angel Investments

Start-up companies often begin by raising money from the personal funds of the founders, and friends and family of the founders. When a company has reached a size and stage of credibility that it can attract capital from institutional investors, venture capital is often the option. In between, there is a zone where the capital needs of the business exceed what can be provided by founders, friends and family, but the company is not yet ready to attract large amounts of capital from institutional investors. In these situations, capital can be raised from wealthy individuals whose requirements are more complex and demanding than those of friends and family, but different than those of institutional venture capitalists. One challenge of these transactions is that the terms and documentation of such investments are often complex, and federal and state securities laws will often apply, but the transaction size is too small to justify the fees of a large law firm. I feel that I am well-suited to advise in these transactions, with experience in the sophisticated issues but the rates of a solo lawyer – which is helpful given the smaller size of angel investments.
