I am a solo corporate and securities lawyer in Atlanta, Georgia – formerly a big-firm corporate lawyer and corporate general counsel.
About half my practice is work as a “fractional general counsel” that consists mostly of contract drafting, review and negotiation but also an endless variety of miscellaneous business law matters and consultations. The other half of my practice is transactional, consisting mostly of mergers and acquisitions work, shareholder buy-outs and buy-ins, with some capital-raising transactions such as venture capital fundings, angel investments and private placements.
My client base is very diverse. The largest concentrations are in the manufacturing, distribution and software-as-a-service industries. I also have many clients who provide a wide variety of professional services. My clients range in size from Fortune 500 companies to service businesses having revenues of a couple million dollars a year.
While I maintain an extensive network of colleagues to assist my clients with almost any conceivable legal issue, in my personal corporate and securities law practice I am a solo practitioner. If you have a matter within my practice scope, you know that I will personally be handling it, and that if you call you will be talking to me. There are no inefficient and error-prone redundancies, layers of communication or rotating personnel.
